CHICAGO, February 1, 2012 – The Association to Invest In the USA (IIUSA), the trade association for the EB-5 Regional Center Investment Pilot Program, today celebrates a new historic high in Program utilization for the first quarter of FY2012. US Citizenship and Immigration Services recently reported 2,364 EB-5 visas issued in the first three months of the current federal fiscal year. This equates to at least 10,000 new jobs for American workers. At this pace, the 2012 Program will come close to using its 10,000 annual visa allocation for the first time since the Program’s inception in 1994. 10,000 EB-5 Visas would mean at least 40,000 new jobs for US workers.

At a time of limited liquidity around the United States, the EB-5 Regional Center Investment Pilot Program is finally coming of age. Globally integrated marketplaces now facilitate the exchange and migration of capital, resources and people across international borders at an ever-increasing rate. As a result, the Program is able to account for more foreign direct investment now available for American job creating enterprises than ever before.

“These recent numbers confirm the trends that our industry has been seeing for the last couple of years.” said K. David Andersson, President, IIUSA, “We are a functioning example of 21st century economic development policy that works. Thanks to the Regional Center Investor Pilot Program, thousands of Americans are employed today, and at no cost to the American taxpayer. This Program needs to be a permanent part of the American economic development toolbox.”

Despite its record setting statistics and growing economic impact, the EB-5 Regional Center Investment Pilot Program is due to expire in September 2012, absent action from Congress. IIUSA estimates failure to reauthorize the Program in a timely manner would squander a golden opportunity to create over 100,000 new U.S. jobs through investment losses of at least $10 Billion in foreign direct investment over the next five years. IIUSA calls on Congress to support our efforts to create new jobs by immediately passing permanent reauthorization of the EB-5 Regional Center Pilot Program.

SDIF LP8 Iberdrola Renewables Buffalo Ridge II Wind Farm Project Causes Chinese Concern

South Dakota Regional Center's SDIF LP8 Iberdrola Renewables – Buffalo Ridge II – Wind Farm project is located in Brookings and Deuel County, South Dakota. According to Chinese emigration agents, the project has about 200 EB-5 subscriptions with mostly Chinese investors. However, the project has recently encountered challenges from USCIS. The uncertainty has caused major concerns amongst Chinese investors who subscribed the offering.Various discussions have spread on Chinese online media which allowed me to save a copy of letter issued by SDRC on Jan 5, 2012. The unverified letter is attempted to address investors' concern. Some Chinese investors expressed extreme anguish and disappointment with EB-5 program.

I attended a meeting with USCIS Director Mayorkas and USCIS staff involved with the EB-5 program on January 12, 2012. The following are highlights of the meeting:

1. Premium Processing of I-924 Petitions

No specific implementation date was provided. The process of hiring necessary staff is continuing. Presently there are fifty people adjudicating EB-5 cases. Three economists have been hired, with three more being added. When premium processing is implemented, the intention would be that the time period would be fifteen days. It would probably apply to pending regional center applications as well as new applications, but not I-526 petitions.

2. Bundling of I-526 Petitions

USCIS has commenced bundling I-526 petitions related to a single regional center project in order to enhance consistency of I-526 adjudications.

3. Regional Center Fund Model

For the first time, USCIS is confirming that, as long as an investor’s capital is invested in a single commercial enterprise, the capital can then be deployed by that commercial enterprise in multiple job-creating entities. Although these issues are not resolved, tentatively USCIS agrees that it is not necessary to identify which of the job-creating projects each investor’s money goes into. The ultimate issue would be whether enough jobs are created by the commercial enterprise in any or all of the job-creating entities. This is still subject to further discussion and decision from USCIS.

4. TEA

USCIS reconfirmed that it will defer to the designation by a state of a specific geographical area as a targeted employment area.

5. Indirect Jobs Outside of Regional Center

USCIS reconfirmed that indirect jobs can qualify even if they are located outside of the geographical boundaries of a regional center.

6. Bridge Financing

There was a long discussion of bridge financing. Although the issue is still being resolved by USCIS, it appears that USCIS agrees that, if the business plan and economic report explain that the bridge financing is made available with the understanding that it will be replaced by EB-5 capital, the project can commence based on the bridge financing; and the EB-5 investors can get credit for the job creation.

7. Source of Funds

Some RFEs are requesting documentation that the currency laws of the country have not been violated. It is not clear if these RFEs will become routine.

Mr. James Candido is the Director of the Vermont State ACCD EB-5 Regional Center. James was appointed to the Agency of Commerce and Community Development in 2005 by then Governor James Douglas, and now works under the current Governor Peter Shumlin. As Director, James has worked to increase the activity of the Regional Center by adding approved industry sectors, assisting new companies through the EB-5 process and marketing stages, while also conducting important due diligence for all approved Vermont EB-5 Projects. The Vermont Regional Center conducts intensive quarterly meetings with all of their approved projects to maintain compliance with the EB-5 program guidelines. A recent NYT article “Rules Stretched as Green CardsGo to Investors” Dec. 18, 2011 illustrates the problems encountered whenregulators, developers and regional center owners must comply with the myriad regulationsset forth by Congress surrounding the EB-5 immigrant investor pilot program. Among other things, the article condemns theprogram based on three main issues: 1) some developers/regional center owners mighthave “gerrymandered” employment statistics, some with state approval, to havetheir projects meet the target rate of 150% of the national unemployment rate,thereby meeting the $500,000 investment threshold level, rather than the higher$1,000,000 level; 2) state and local politicians and USCIS have endorsed or approved projects that may not meet the 150% targetthreshold by certain standards; and 3) the practice of allowing projects in lowunemployment areas may “crowd out” investments in higher unemployment areasthat better fit the letter of the law or be deemed more worthy of theinvestment.

The legislation’s intention (CFR 8 204.6, amongothers) was to create jobs in the US in exchange forlegal residency, as is similarly done in a number of developed countries,including Canada. Put simply, the lawallows foreign investors to get legal residency in the US by investing $500,000or $1,000,000, which is totally “at-risk” dollars in the US, where theinvestment must create at least 10 jobs. One of the provisions in the code dictates that if the investment is locatedin a targeted employment area (TEA), i.e., an area that has 150% of thenational unemployment rate, the immigrant investor can invest the lower$500,000 amount. Given the competitionfor scarce funds, the current competitive default level of investment forregional centers is the $500,000 investment. If regional centers locate outside of a TEA (or rural area), they have effectivelyraised their ticket price for legal residency in the US to the $1,000,000 level. In so doing, they will lose clients as themajority, if not all, regional centers are located in TEAs (or rural areas). Like any large government program the legislation isloosely written and leaves much to be filled in by practitioners. Will there be pushing of the envelope or evenabuse of the regulations? As with mostgovernment programs, more than likely the answer is yes, but should the programbe axed because of this or should it be changed for the better? I would challenge anyone to find even onegovernment program where abuse is absent. Given these circumstances, what issues raised in the article are validand how can they be resolved?

To be clear, there is much ambiguity in the law andlittle guidance given by USCIS in applying it. Is this the result of another bureaucratic government agency runamok? Perhaps, but my limited experiencethrough a number of RFE’s is they seem to be applying the code as best theycan, but are no doubt over run with work and sorely underfunded. If USCIS is like most state and federalgovernment agencies these days, their funding has likely been cut to the bonein recent years and they are forced to do much more with much less. Then what about the 150% unemployment andgerrymandering the census tracts? Simplyput, one must demonstrate that the unemployment rate is at least 150% of thenational average. The relevant code indicateswhat must be presented: “Evidence that the metropolitan statistical area … in whichthe new commercial enterprise is principally doing business has experienced anaverage unemployment rate of 150 percent of the national average rate.” In addition a state may designate the area as one ofhigh unemployment: “The state government of any state of the United States maydesignate a particular geographic or political subdivision located within ametropolitan statistical area or within a city or town having a population of20,000 or more within such state as an area of high unemployment (at least 150percent of the national average rate).” So much of the detail is left to the individualdeveloper, regional center owner or consultant and to the state. For example, which national average: Theprevious calendar year? The preceding 12 months from the current date? Seasonally or not-seasonally adjusted data? In addition, considering local areaunemployment has not been measured at the census tract level since the 2000census, how does one measure census tract unemployment rates until the CensusBureau’s American Community Survey is reported, probably in 2015? Census sharing methods are currently used in which2000 census tract level employment ratios are applied to 2011 county level employmentdata. The approach obviously has itsdrawbacks. Finally, there is littleguidance concerning how to collect census tracts surrounding the tract in whichthe project is located to use for unemployment calculations, hence the claim ofgerrymandering.

If USCIS would level the playing field for all states,any perception of whether one state is “unfairly” getting more projects than isjustified would be eliminated. This couldbe accomplished either by allowing states to claim any type of geographic region(or shape) as long as the resulting unemployment rate reaches the 150% rate orit can be done by setting very strict guidelines that all states must follow. Either of the methods will work because allregional centers and state agencies will be on equal footing. However, even the casual observer willrecognize that although leveling the playing field would eliminate theperception that some states/projects have an unfair advantage, these twomethods can have quite different outcomes; the former approach would fosterregional center and job growth, while the second could inhibit regional centerand job growth if the guidelines are too restrictive, which is clearly not theintent of the legislation. The secondapproach also could be very difficult to implement, e.g., concentric areassurrounding the project tract, etc., considering census tracts are designed tobe homogenous regarding population and economic status, but geographically arevery diverse.

Finally, what are the consequences of allowingprojects to be located in areas that are supposedly gerrymandered to reach the150% unemployment threshold? Will lowerwage workers, who seem to be the intended beneficiary targeted by thelegislation, benefit? Clearly the “34story glass tower” located in Manhattan will have a large impact in the localcommunity and much of the labor used for the construction and maintenance ofthe buildings will be done by those intended to benefit from the law, employedfrom either nearby boroughs, the Bronx or Harlem. The tenants, who may be from higher incomelevels, will also benefit. Althoughconstruction is deemed short-term in nature, most of the projects mentioned inthe article are large and may last longer than the 2-year cut off used by USCISto delineate permanent jobs. Will jobs be lost in Nevada, California or otherstates because a 34 floor glass tower is built in New York? Perhaps, but currently there is great demandfor US legal residency and over 200 regional centers from which to choose. Moreover, given the current state of the USeconomy, the economic benefits of projects rejected based on the 150%unemployment target may simply be lost forever as locations in other areas orother states are not close substitutes. For example, if the 34 floor tower typically used for retail, officespace and/or residential purposes did not qualify in New York, one can beassured that states with the highest unemployment levels are not likely close substitutesfor a Manhattan address for either the developer or prospective investors, sothis project would likely be shelved. Similarly, a large condominium in Florida will not sell if located in ahigh unemployment area away from the coast instead of a lower unemployment areaon the coast, yet the labor will be imported to the site. Both projects, though, will generate largeeconomic benefits for their regions. Sogiven the current robust demand for citizenship in the US, this is likely notan issue at the present, but this may change in the future. Again, leveling the playing field would comea long way in resolving any perceived or real issue.

2011 has been a great and busy year for Artisan Business Group and its China operation. We have organized over 10 EB-5 investment and Chinese real estate investment seminars, boot camps, and conferences in New York, Las Vegas, Boston, San Diego, Houston, Orlando, Los Angeles and Guangzhou China; all these events successfully attracted over 1000 business executives, commercial real estate developers, bankers, attorneys, immigration agents, government officials, venture capitalists, EB-5 professionals from all over the USA, China, Taiwan and Korea. In March, we traveled to China for the Invest America 2011 (Guangzhou) Summit & Exhibition which was co-organized by Artisan Business Group, the event had a great turnout.

In China, we introduced and worked on EB-5 projects affiliated with Hawaii Islands Regional Center, Northern California Regional Center, the State of Vermont Regional Center, EB-5 Jobs for MA Regional Center, Century American Regional Center, DC Regional Center, and Extell Regional Center. Many EB-5 regional center executives traveled with us to meet with Chinese emigration brokers around China. These private one-one-one meeting tours resulted many successful deals. Our relationship with licensed Chinese emigration agents and Korean brokers have been growing rapidly, some of these companies are the largest EB-5 emigration brokers in China. We also established close working relationship with Chinese emigration trade associations. Many Chinese emigration brokers have chosen Artisan Business Group to be their gatekeeper. The trust we earned is significant to our business.

In the US, we advised and assisted many companies in developing EB-5 investment projects under the Regional Center program, projects include hotels, manufacturing facilities, medical device, shopping centers, resorts, hospitals and office buildings. We even brought in Chinese emigration agents to sign marketing contracts with some good EB-5 projects without having the developers to be in China - what a money saver! We also had the opportunities of hosting a good number of inbound Chinese delegations and emigration agents who were very interested in exploring various business and investment opportunities in the U.S.

In 2012, we continue to organize EB-5 and real estate investment conferences and seminars around the country, we are planning events in Las Vegas, Miami, New York, Portland (Oregon), Chicago and other metropolitan cities. 2) In addition to Chinese and Korean investors, is EB-5 popular in Vietnam?
Brian Su: Vietnamese investors are also interested in EB-5 immigrant investors program. However, not like Korea and China, Vietnam does not have a well-established emigration service industry that can effectively promotes the EB-5 program, the other main issue is that Vietnam has a very tight and restrict foreign exchange policy. It is quite difficult for investors to send money out.

3) Can I promote EB-5 regional center projects in Taiwan and India?
Brian Su: yes if you have enough resources. All EB-5 projects must be registered with the Ministry of Interior in Taiwan before it can be promoted to investors. You have to go through a lot red tapes, therefore there is very little EB-5 activities in Taiwanese local market. Asian Indians have other options to choose if they are interested in EB-5, many of them also prefer hands-on experiences, such as owning and managing their own restaurants, gas stations, and motels.

Fewer Chinese Back after Study Abroad

EB-5 Hotel Projects Attract Chinese Investors

Many commercial real estate developers keep asking me the same question - why are Chinese investors more interested in EB-5 hotel investment projects over other EB-5 projects such as shopping centers, office towers and even resorts? The answer is quite simple. If we look at successful EB-5 capital raise activities this year, many of them are hotels in Manhattan, Milwaukee, Los Angeles and other cities. The EB-5 hotel projects are typically affiliated with brands such as Marriott, W Hotel, Holiday Inn, Hyatt, etc. These hotel groups all operate luxury properties around China, it is very easy for Chinese emigration agents to convince their Chinese investors to consider investing into hotels that they are familiar with.

This year's last EB-5 hotel project was introduced to the Chinese market early this month. The Dream Hotel project is sponsored and developed by Hollywood International Regional Center. Its first promotional seminar took place in Shanghai December 8 and Chinese investors showed tremendous interest in the Hollywood project. I have been approached frequently by EB-5 regional center clients on how a Chinese or Korean emigration broker would select projects to represent in their markets. I will randomly share some insights next two weeks on this blog. Bookmark the blog, as I typically charge for such insights :), now you can get them for free!

1) How can I stay competitive in the international EB-5 marketplace?
Brian Su: you really have to be sharp and stay on top of everything in order for your EB-5 project to be attractive to emigration agents and investors who will do their own due diligence on you and your project. Your track records, personal reputation and honesty are your hard assets in the marketplace, in addition to the strength of your EB-5 project. I encountered project developers who failed making payments to their EB-5 economists, attorneys, and business consultants, do you expect overseas investors and emigration agents can place their trust in such clients regardless of its EB-5 project? I doubt it. EB-5 business is a small world, good and bad words travel fast.

2) How can I select a highly qualified EB-5 consultant to assist my efforts overseas?
Brian Su: at my EB-5 seminars and conferences, I always remind clients to be cautious when selecting an EB-5 market consultant. Having an EB-5 regional center approved is the first step of your long journey, your EB-5 market consultant must have a lot knowledge about EB-5 program and multi-year experiences in dealing with international investors; he or she must fully understand the needs of emigration agents and prospective investors; he or she should be familiar with local government regulations and emigration industry in a country where your project is represented. He or she must be able to directly communicate with emigration agents and investors without language and cultural barriers. Certainly asking for references and seeing track records are important. One thing is critical is to find out their reputation in the marketplace prior to hiring an EB-5 market consultant! Some of our regional center clients wasted so much time and money on their previous consultants, now they are coming back to us. To be cautious is always needed in a chaotic marketplace.

Record Visa demand from China in 2011

The US government has deployed additional staff at its consulate general offices in China to process increasing number of visa applications. In China more than one million applications have been processed during fiscal year 2011, a growth of 34 per cent from the last year. The average wait for visa interview appointments in China is usually takes more than 15 days, with additional staffing from the State Department, the wait time will be reduced to less than 10 days. The State Department said that while it always puts security first, visitors to the US make critical contributions to economic growth and job creation.

Both reports have questioned the program's integrity. It appears that The New York Times is not quite positive towards the job-creation driven EB-5 program which has brought tens of thousands direct, indirect and induced jobs to New York in last couple years. "Rules Stretched as Green Cards Go to Investors" Comment by Scott Barnhart, PhD

A recent NYT article “Rules Stretched as Green Cards Go to Investors” Dec. 18, 2011 illustrates the problems encountered when regulators, developers and regional center owners must comply with the myriad regulations set forth by Congress surrounding the EB-5 immigrant investor pilot program. Among other things, the article condemns the program based on three main issues: 1) some developers/regional center owners might have “gerrymandered” employment statistics, some with state approval, to have their projects meet the target rate of 150% of the national unemployment rate, thereby meeting the $500,000 investment threshold level, rather than the higher $1,000,000 level; 2) state and local politicians and USCIS have endorsed or approved projects that may not meet the 150% target threshold by certain standards; and 3) the practice of allowing projects in low unemployment areas may “crowd out” investments in higher unemployment areas that better fit the letter of the law or be deemed more worthy of the investment.

The legislation’s intention (CFR 8 204.6, among others) was clearly to create jobs in the US in exchange for legal residency, as is similarly done in a number of developed countries, including Canada. Put simply, the law allows foreign investors to get legal residency in the US by investing $500,000 or $1,000,000, which is totally “at-risk” dollars in the US, where the investment must create at least 10 jobs. One of the provisions in the code dictates that if the investment is located in a targeted employment area (TEA), i.e., an area that has 150% of the national unemployment rate, the immigrant investor can invest the lower $500,000 amount. Given the competition for scarce funds, the current competitive default level of investment for regional centers is the $500,000 investment. If regional centers locate outside of a TEA (or rural area), they have effectively raised their ticket price for legal residency in the US to the $1,000,000 level. In so doing, they will lose clients as the majority, if not all, regional centers are located in TEAs (or rural areas). Like any large government program the legislation is loosely written and leaves much to be filled in by practitioners. Will there be pushing of the envelope or even abuse of the regulations? As with most government programs, more than likely the answer is yes, but should the program be axed because of this or should it be changed for the better? I would challenge anyone to find even one government program where abuse is absent. Given these circumstances, what issues raised in the article are valid and how can they be resolved?

“Evidence that the metropolitan statistical area … in which the new commercial enterprise is principally doing business has experienced an average unemployment rate of 150 percent of the national average rate.”

In addition a state may designate the area as one of high unemployment:

“The state government of any state of the United States may designate a particular geographic or political subdivision located within a metropolitan statistical area or within a city or town having a population of 20,000 or more within such state as an area of high unemployment (at least 150 percent of the national average rate).”

So much of the detail is left to the individual developer, regional center owner or consultant and to the state. For example, which national average: The previous calendar year? The preceding 12 months from the current date? Seasonally or not-seasonally adjusted data? In addition, considering local area unemployment has not been measured at the census tract level since the 2000 census, how does one measure census tract unemployment rates until the Census Bureau’s American Community Survey is reported, probably in 2015? Census sharing methods are currently used in which 2000 census tract level employment ratios are applied to 2011 county level employment data. The approach obviously has its drawbacks. Finally, there is little guidance concerning how to collect census tracts surrounding the tract in which the project is located to use for unemployment calculations, hence the claim of gerrymandering. However, if USCIS would simply level the playing field for all sates, any perception of whether one state is getting more projects than is truly justified would be eliminated. This could be done either by allowing states to claim any type of geographic region (or shape) as long as it reaches the 150% rate or it can be done by setting very strict guidelines that all states must follow. Either of the methods will work as all regional centers and state agencies will be on equal footing.

Next, are state and local government agencies, politicians and/or the USCIS wrong in approving projects that are not “true” TEAs? Assuming graft is nonexistent or minimal, they are clearly responding to the demands of their respective constituents, all wanting to bring jobs and wealth to their states. Barring any illegalities in TEA designation, how else would we want our elected and appointed officials to act? Would we as taxpayers want them to be too strict in their interpretation of the code, restricting development and more jobs when other states have legally opened the flood gates for development of the sort? Leveling the playing field such that uniform rules apply to all states will solve the problem. Finally, what are the consequences of allowing projects to be located in areas that are supposedly gerrymandered to reach the 150% unemployment threshold, will lower wage workers, who seem to be the main beneficiary targeted by the legislation, benefit? Clearly the “34 story glass tower” located in Manhattan will have a large impact in the local community and much of the labor used for the construction and maintenance of the buildings will be done by those intended to benefit from the law, employed from either nearby boroughs, the Bronx or Harlem. The tenants, who may be from higher income levels, will also benefit. Although construction is deemed short-term in nature, most of the projects mentioned in the article are large and may last longer than the 2-year cut off used by USCIS to delineate permanent jobs. Will jobs be lost in Nevada, California or other states because a 34 floor glass tower is built in New York? Perhaps, but currently there is great demand for US legal residency and over 200 regional centers from which to choose. Moreover, given the current state of the US economy, the economic benefits of projects rejected based on the 150% unemployment target may simply be lost forever as locations in other areas or other states are not close substitutes. For example, if the 34 floor tower typically used for retail, office space and/or residential purposes did not qualify in New York, one can be assured that states with the highest unemployment levels are not likely close substitutes for a Manhattan address for either the developer or prospective investors, so this project would likely be shelved. Similarly, a large condominium in Florida will not sell if located in a high unemployment area away from the coast instead of a lower unemployment area on the coast, yet the labor will be imported to the site. Both projects though will provide large economic benefits to their regions. So given the current robust demand for citizenship in the US, this is likely not an issue at the present, but this may change in the future. Again, leveling the playing field would come a long way in resolving any perceived or real issue.

I have been approached frequently by EB-5 regional center clients on how a Chinese or Korean emigration broker would select projects to represent in their markets. I will randomly share some insights next two weeks on this blog. Bookmark the blog, as I typically charge for such insights :), now you can get them for free!

1) I have a good EB-5 project, but the project seems unable to sign up immigration (emigration) brokers. What went wrong?

Brian Su: I would suggest you go back to your PPM and offering documentation, have a complete in-and-out review. Some offering languages and/or fee structures may have turned emigration brokers off. These documents include EB-5 PPM (private placement memorandum), subscription agreement, limited partnership agreement, escrow agreement, loan agreement, broker agreement and others. Believe or not, as a non-native speaker, I once found multiple errors and typos in a set of offering documentation prepared by a top law firm!

2) I have a solid EB-5 project and every offering documentation examined, but emigration brokers seems less interested. What happened?

Brian Su: Perhaps you need to remove your sales director who is responsible for introducing the project to emigration brokers. Sales job is not suitable for everyone. Interpersonal skill and personality of your frontline staff is very important. If they are ignorant and ill-equipped with EB-5 knowledge, they are not good enough to promote your project in Chinese EB-5 investor market, Korean market or anywhere else. Believe or not, you may want a middle-age man or gal for the job rather than giving such important task to a 20-something young guys. It is a culture issue, especially in China and South Korea, they would regard your young lad not a decision-maker, it is waste time to speak with someone who cannot make decisions. Older guys / gals are typically better-received by emigration brokers at the project meetings.

Ron, himself, was named as the world’s most respected corporate immigration lawyer (The International Who’s Who of Business Lawyers 2007 and 2008) and one of the country’s top immigration lawyers by clients and other immigration lawyers who said he is “revered for coming up with unique arguments that can save a client” (Chambers Global). A former National President of the American Immigration Lawyers Association (AILA), Ron served as General Counsel of that organization for three Presidents and has been a member of its Board of Governors since 1980. New EB-5 Policies from USCIS

USCIS Director Mayorkas issued a draft memorandum and held a stakeholders conference call on November 9, 2011. Although the memorandum is in draft form, it represents the present thinking of USCIS. It is anticipated that, in the coming months, the memorandum will be finalized after public comment. It will represent a comprehensive statement of USCIS policy on all major EB-5 issues. The EB-5 Committee of the American Immigration Lawyers Association, which I Chair, will be active participants in the development of the comprehensive policy memorandum.

For now, there are four important issues to note:

1. Premium Processing

USCIS is targeting spring 2012 for premium processing. (My personal estimate is summer 2012 at the earliest). At least initially, premium processing will be limited to new I-924 regional center designation applications. It will not apply to regional center amendments, separately filed exemplar I-526 project pre-approval applications or investor I-526 petitions.

2. State TEA Designation Letters

USCIS confirms that it will not challenge the state determinations of geographical areas to be designated targeted employment areas. USCIS reserves the right to make certain that the mathematical computations of 150% of the national average unemployment rate are correct. This is a significant development since USCIS, in the last 6 months, had challenged state geographical determinations in at least 5 states.

3. Bridge Financing

USCIS agrees that it is the new commercial enterprise – and not the EB-5 investors – that must create the jobs. This means that, if the project moves forward based on interim financing, and the interim financing is replaced by EB-5 investment money, the jobs created by the new commercial enterprise are qualifying jobs for EB-5 purposes. We believe it is beneficial to document that the bridge financing was made available to the new commercial enterprise based on the understanding it would be replaced by the EB-5 money. Note that this issue was discussed by Director Mayorkas but was not included in the draft memorandum.

4. Material Change

USCIS has denied a number of I-829 conditional removal petitions where there has been a “material change” in the business plan between the I-526 filing and the I-829 filing. This is problematic because it is an economic reality that many business plans change to adapt to economic and other conditions. The draft memorandum significantly recognizes that these changes do occur and that they do not necessarily prevent the investor from having conditions removed as long as the necessary jobs are created. We will be working on clarifying the language of the draft memorandum on this point.

Mr. Carr has more than 30 years of experience in economic analysis, economic forecasting, regional economic and fiscal impact analysis (including more than three dozen completed economic/job impact assessment studies under the U.S. Citizenship and Immigration Service’s EB-5 Immigrant Investor Program in 24 states throughout the U.S.), financial analysis, economic-tax revenue forecasting, and preparing and presenting state economic-fiscal data to Wall Street bond rating agencies. Mr. Edward Carroll has been an advisor to the State of Vermont in its initial Regional Center application and subsequent amendments. He has consulted to a significant recreation and hospitality company through five phases of expansion in reliance on the EB-5 program and he continues to advise other hospitality EB-5 projects. Mr. Carroll is counsel to Regional Centers throughout the U.S. and to their related commercial enterprises engaged in sales distribution, manufacturing, medical technology, bio-mass electrical generation and real estate development.
